A Wyoming LLC costs $100 to form and $60 a year to keep. Both numbers come from the Secretary of State's fee schedule, in force since 1 July 2026, and both are correct.
They are also the smallest lines in a foreign owner's budget. If you live outside the United States, you cannot act as your own registered agent, you cannot get a tax number online, and you owe the IRS an information return every year, whether the company earns anything or not.

What Wyoming charges: the official fee schedule
The state publishes a single three page schedule for every business filing. It is short, and it is the only document that settles an argument about a Wyoming fee.

Four things follow from the schedule, and none of them depends on where you live.
- There is no non-resident surcharge. A founder in Lagos or Lyon pays the same $100 as a resident of Cheyenne.
- A corporation pays the same. Articles of Incorporation cost $100, with the same $60 minimum each year.
- The operating agreement is not filed, so the state charges nothing for it.
- There is no state income tax and no franchise tax on top. What the state does levy is covered in Wyoming corporate tax.
Why the same filing is quoted at $100, $102, $103 and $104
Published guides do not agree on what an online filing costs. The differences are small, but they are a good test of how current a page is.

The state's own wording, on both the formation and the annual report pages of WyoBiz, is "a credit card processing fee of 2.4% (minimum $1) of the filing fee". The state does not say when the percentage replaced the older flat amounts, so this page does not date the change.
- The annual report can be mailed for free. WyoBiz lets you complete the report online, print it and post it with the fee, at no extra charge.
- Above $500 of license tax, online filing is closed. The report goes by mail.
The annual report: $60, and the $250,000 or $300,000 question
The annual report carries a license tax of $60, or $0.0002 per dollar of assets located and employed in Wyoming, whichever is greater. The formula is the same for an LLC and for a profit corporation.

Three versions of this rule circulate, and the state's documents settle each one.
- The threshold is $300,000, not $250,000. The Secretary of State's FAQ says an entity with $300,000 or less in assets pays $60, which is what the formula gives.
- The minimum is $60, not $50 or $52. The schedule shows $60 for LLCs and profit corporations. The $25 line applies to nonprofits only.
- It is the greater of the two amounts, not the lower. A page that says "whichever is lower" has the formula backwards.

The three lines that make a foreign owner's budget
A resident of Wyoming can stop at $100 and $60. A foreign owner cannot, for three reasons that have nothing to do with the state's prices.

The registered agent is a private service, and its price is set by competition rather than by the state.
- The low end is a real price. A Wyoming agent publishes $25 a year, with the use of its address included.
- $125 is the figure most often quoted, and published prices run up to $249 and $299 at national brands.
- The first year is often bundled with formation. Read the renewal price, which is the one you pay four times in five years.
- Switching agents costs $5 at the state, so an expensive renewal is not a trap.
Form 5472 is the line no state document mentions, because it is federal. The mechanics belong to Wyoming LLC taxes for non-residents. The cost side is this.
- It is filed with a pro forma Form 1120, by fax or by mail to a dedicated IRS address.
- Funding the company triggers it. Money moving between you and your LLC is a reportable transaction, even in a year with no sales.
- The penalty is $25,000 for a form that is missing or substantially incomplete.
- Published prices are scarce. One owner reports paying $375, one platform publishes $899, and bundles that add bookkeeping and advice reach about $2,000 a year.
The bank is priced differently: the account is usually free and the money movement is not. Mercury and Relay both publish a $0 monthly plan. Wise Business charges $31 once for account details, then $6.11 for each incoming US dollar wire.

- Lean means the cheapest compliant agent, its address used for mail, and an EIN you request yourself.
- The EIN is free at the IRS. Without a US Social Security number the online tool is closed to you, so services charge about $250 for the fax route. The steps are in forming a Wyoming LLC from abroad.
- A mailing address is optional in law. Published prices run from $19 to $35 a month for an address with mail scanning.
- The first Form 5472 is not in this table. It covers the formation year but is prepared after the year closes, so its cost lands in year two.

In the mid range budget, the state receives $61.44 of $789.44, less than a tenth of the year. That proportion is the main thing to take from this page.
The lean column assumes you prepare Form 5472 yourself. That is legal and the form is short, but the penalty for an incomplete one is $25,000, which is why most foreign owners pay for it.

Adding year one to four later years gives the following totals.
- Lean: about $473, of which $348 goes to the state.
- Mid range: about $3,894, with the same $348 to the state.
- Full service: about $7,820, still with $348 to the state.

Four costs are left out of every column, because they depend on your business and not on Wyoming.
- Bookkeeping, which the 5472 preparer will need in some form.
- Currency conversion and wire fees, which scale with turnover.
- Tax advice in your country of residence, often the most valuable hour you will buy.
- Any tax actually due, in the United States or at home.
Wyoming vs Delaware: state cost over five years
This is the comparison most founders make before choosing, so here are the state figures side by side. Service costs are left out: an agent, an EIN and a Form 5472 cost much the same in either state.

The Wyoming total is $100 plus five reports of $60. The report falls due on the first day of the anniversary month, so an LLC formed mid month files its fifth just before it turns five. Formed on the first of a month, it files four and pays $340.
The Delaware total is $110 plus four payments of $400, since the first annual tax is due the June after the formation year. A Delaware LLC formed in the second half of a year meets a fifth payment inside the same window.
Either way the recurring gap is $340 a year. Whether Delaware is worth that premium is a question of investors and case law, not of cost, and it is weighed in Wyoming LLC pros and cons.

Expedited service is new. It exists since 1 July 2026 and it comes on top of the normal filing fee.
- It does not apply to a new LLC. Filings that can be completed online are excluded, and the state names initial formations and annual reports.
- It is not refundable. The fee buys priority examination, so a rejected filing loses it.
- You rarely need it. The state's FAQ says an entity filed online is active immediately.

Costs you can skip
Some lines still appear at checkout in 2026 although nothing requires them.
- A BOI filing. FinCEN's final rule of 11 August 2026, effective 14 August 2026, exempts every company created in the United States. A paid BOI report for a Wyoming LLC buys nothing.
- A nominee manager bought for privacy. Wyoming's public record does not list the members or managers of an LLC, and your bank and the IRS identify you regardless. See Wyoming LLC for non-residents.
- An "EIN fee". The IRS charges nothing. What a service sells is the paperwork, which is fair, but it is a service price.
- A paid certificate of good standing, when the free electronic version is accepted.
- Rush formation. The state sells no faster formation than the online filing itself.
- Reinstatement. Bringing back a dissolved LLC costs $100 after an unpaid license tax and $350 after a lost registered agent. A calendar reminder costs less.
The bottom line
Wyoming is as cheap as its reputation says: about $400 to the state over five years, against roughly $1,700 in Delaware. Those figures are exact, and they are public.
They are also the wrong figures to budget on. For a founder abroad, the state is under a tenth of a typical year, and the registered agent, the annual Form 5472 and the cost of moving money decide the total.
