This guide covers Georgia the country, with its registry in Tbilisi and fees in lari. If you meant the American state, you want the Georgia Secretary of State, which is a different system altogether.
Georgian registration is fast: the National Agency of Public Registry (NAPR) decides in one working day, or on the same day for a higher fee. What takes time is everything before the filing: documents signed abroad, translations, and a power of attorney that actually covers what your representative will need to do.
This guide sets out the steps in order, the official fee, and the points where remote registrations usually break.
Before you start: three decisions
The registry will not make these for you, and changing them later costs a new filing.
- The form. For most foreign founders, a limited liability company. If you are a solo freelancer eyeing the 1% regime, you need an individual entrepreneur instead, as explained in the company types guide.
- The people. Who owns the shares, who is director, and whether the director will be in Georgia. The residence question is covered in the non-resident guide.
- The address. A legal address in Georgia, with the owner's consent. It is where the registry serves its notices, and banks will check it.

The steps, in order
- 1Choose name and formCheck the name against the registry
- 2Secure a legal addressOwner's written consent
- 3Prepare the founders' documentsPassports; for a corporate owner, certified registry papers
- 4Sign charter or power of attorneyNotarised, apostilled, with Georgian translation
- 5File with the NAPRGEL 200, one working day, or GEL 400 same day
- 6Receive the registry extractIdentification number of the company
- 7Tax and VAT set-upVAT only above the threshold or when importing
- 8Open the bank accountUsually the slowest step
1. Name and form
The brand name must not clash with a registered one. Agencies run the check against the registry before drafting. Pick a name that works in Latin script, since it will also appear transliterated in Georgian documents.
2. Legal address
The Law on Entrepreneurs serves registry notices to the legal address, or to an electronic address the registry assigns. In practice you need a real address in Georgia and the owner's consent. A virtual office or a provider's address is usual for founders abroad.
3. Founders' documents
| Founder | What is usually asked |
|---|---|
| Foreign individual shareholder or director | Passport copy; identification data and residential address go into the instrument of incorporation |
| Foreign company as shareholder | Recent registry extract, statute, proof of who represents it, certified for use in Georgia |
| Representative filing for you | Power of attorney, notarised, apostilled or legalised, with a Georgian translation |
"Certified for use in Georgia" usually means an apostille for countries that are party to the Hague Convention, consular legalisation for the others, then a notarised Georgian translation. That chain is what turns a one-day registration into a two- or three-week project.
4. Charter and signatures
The Law on Entrepreneurs, Article 4, sets the form.
- The instrument of incorporation is written and signed by every founder.
- Each signature is notarised, or certified by the NAPR, or made as a qualifying electronic signature.
- A power of representation needs a notarised or qualifying electronic signature.
The Minister of Justice approves standard statutes for each form (Article 6). Using the standard charter is the fastest route for a simple one- or two-owner company. A bespoke charter makes sense with investors, several share classes or exit clauses.
5. Filing with the NAPR
The filing is made at a Public Service Hall, by a representative, or online by those who hold a Georgian electronic identity. The official fee schedule, read on 26 October 2026, sets:
| Service | One working day | Same day |
|---|---|---|
| Registration of a company (LLC, JSC, partnership) | GEL 200 | GEL 400 |
| Registration of an individual entrepreneur | GEL 26 | GEL 75 |
| Change of identification data | Free | GEL 75 |
| Registry extract, requested online | GEL 13 | GEL 52 |
| English-language extract | plus GEL 26 on the related service |
The GEL 100 figure, where guides differ
Many formation guides quote GEL 100 to register a Georgian LLC, and some add a GEL 50 "annual registration" due before 1 April.
- The official schedule sets GEL 200, or GEL 400 for same-day registration, and lists no annual registration fee.
- The GEL 100 rate existed briefly. From 9 to 20 March 2026, the registry charged GEL 100 instead of GEL 200 to companies aligning their existing data with the 2021 law, using the standard charter.
- The "annual registration" appears to be borrowed from the American LLC model, along with "articles of organization" and "registered agent", terms that do not exist in Georgian law.
Budget on the official schedule and check it on the day you file.
6. After registration
The registry extract gives the company its identification number, which also serves as its tax number. Agencies report that the Revenue Service account follows from the registry record.
Two further steps depend on your activity.
- VAT registration becomes mandatory above GEL 100,000 of taxable supplies in any 12 months, and can apply earlier in some cases, such as imports. The thresholds are in the compliance guide.
- Sector licences for regulated activities are separate from registration and can take far longer.
7. The bank account
Registration does not open a bank account. Georgian banks run their own checks on the business, the owners and the source of funds, and some ask the director to come in person. Write banking powers into the power of attorney if you want a representative to start the process. The details are in the business bank account guide.

Buying an existing Georgian company instead
Ready-made companies are sometimes offered to save time. One 2026 check matters before you buy.
The NAPR required every company and foreign branch registered before 1 January 2022 to align its registration data with the Law on Entrepreneurs by 1 April 2026. Registrations not updated are suspended, and the registry stops issuing extracts for them. Ask for a fresh extract dated after April 2026 before signing anything.
Where remote registrations break
- A power of attorney without banking powers. The registration goes through, the bank account stalls.
- A corporate shareholder's papers without apostille. The registry rejects them, and the clock restarts.
- A translation done abroad. Georgian notaries usually need to certify it locally.
- An address without the owner's consent. The filing is returned.
- A licensed activity registered first and licensed later. The company exists but cannot trade.
The bottom line
Registering a Georgian company is a one-day decision by the registry, at GEL 200 or GEL 400, preceded by one to three weeks of document work if you are abroad, and followed by a bank process that has its own pace.
corpsec prepares the charter and the power of attorney, provides the registered office and files with the NAPR. See the Georgia formation service, or read what the company costs to set up and run.
Frequently asked questions
How long does it take to register a company in Georgia?
The NAPR decides in one working day, or on the same day for a higher fee. With documents signed and apostilled abroad, a realistic project takes one to three weeks before filing, and the bank account can take longer.
How much does it cost to register an LLC in Georgia?
The official registry fee is GEL 200 for registration in one working day, or GEL 400 for same-day registration. Notary, apostille, translation, address and agency fees come on top, as set out in the cost guide.
Can I register a Georgian company without travelling to Georgia?
Yes, through a representative holding a notarised power of attorney, apostilled or legalised, with a Georgian translation. The bank account is the step most likely to need a visit.
Is there an annual registration fee for a Georgian LLC?
The official NAPR fee schedule lists no annual registration fee. Recurring obligations are tax filings and, where applicable, financial reporting, covered in the compliance guide.
Do I need a registered agent in Georgia?
Georgian law has no registered agent role of the American kind. You need a legal address in Georgia, and often a representative to file for you.
Can a foreign company be the shareholder of a Georgian LLC?
Yes. It must provide its registration documents, statute and proof of representation, certified for use in Georgia, usually by apostille and notarised Georgian translation.
What is the standard charter?
A model statute approved by the Minister of Justice for each legal form. It suits simple companies and speeds up registration. Companies with investors or complex rights usually need a bespoke charter.
Should I buy a ready-made Georgian company?
Only after checking a recent registry extract. Companies registered before 2022 had to align their data with the 2021 law by 1 April 2026, or face suspension of their registration.

Several agency guides quote a GEL 100 registration fee and an annual NAPR filing of GEL 50; neither appears in the official schedule read on the day of writing, and the GEL 100 rate was a temporary offer of March 2026 for existing companies.
