Georgia is ready to register a company owned by a Bangladeshi founder: one owner, no capital, a day at the registry. Bangladesh is the harder side. Its rules on investing abroad are among the strictest of the countries covered in this series, and they were written first for exporting companies. Since March 2025, a narrow route also exists for startup founders.
This guide sets out what the 2022 rules and the 2025 startup circular allow, who they leave out, and the realistic routes for a Bangladeshi founder.
What Georgia asks
- One shareholder and one director, who can be Bangladeshi.
- No minimum capital for a limited liability company.
- A representative with a notarised power of attorney, legalised or apostilled as your documents allow.
- A legal address in Georgia.
The steps are in how to register a company in Georgia.

What Bangladesh allows
On 16 January 2022 the Financial Institutions Division of the Ministry of Finance issued the Capital Account Transaction (Overseas Equity Investment) Rules. Bangladesh Bank sent them to authorised dealer banks. They opened, for the first time, a structured route to invest in equity abroad, with tight conditions.
| Condition | What the rules require |
|---|---|
| Investor | An exporter with sufficient balances in its export retention quota (ERQ) account |
| Ceiling | The lower of 20% of average annual export earnings over five years, or 25% of audited net worth |
| Financial standing | Audited accounts and a minimum credit rating |
| File | A feasibility study and a link to the domestic business |
| Destination | Not a country under UN, EU or US sanctions |
| Decision | A selection committee chaired by the Governor of Bangladesh Bank |
- 1Is the investor an exporting company with an ERQ account?Apply through your dealer bank to the Bangladesh Bank committee
- 2Is the amount within 20% of export earnings or 25% of net worth? The lower of the two applies
- 3Are you a founder of a Bangladesh-based startup?Up to USD 10,000 under FEID Circular 02 of 2025
- 4Do you already live and earn outside Bangladesh?Your new country's rules apply instead
The 2022 rules do not provide a route for an individual. Since FEID Circular No. 02 of 27 March 2025, Bangladesh Bank gives a general permission to individual Bangladeshi nationals, and to resident enterprises under ten years old, to remit up to USD 10,000 to set up a legal entity abroad for a startup based in Bangladesh, from their own funds, with annual reporting through their bank.
- Beyond that ceiling or purpose, treat it as needing prior approval if an individual in Bangladesh funds a Georgian LLC.
- Ask an authorised dealer bank before sending anything.
- Keep the company's funding traceable, since a Georgian bank will also ask where the money came from.
No tax treaty with Georgia
Bangladesh is not on the list of 58 tax treaties in force published by Georgia's Ministry of Finance.
| From Georgia to Bangladesh | Georgian tax | Treaty reduction |
|---|---|---|
| Company profit when distributed | 15% on the grossed-up distribution | Not applicable |
| Dividend | 5% withholding | None available |
| Interest or royalty | 5% withholding | None available |
| Fee for services rendered in Georgia | 10% withholding | None available |
Relief for Georgian tax in Bangladesh, if any, is unilateral. Check with your adviser. The Georgian side is detailed in the corporate tax guide.
The realistic routes
Given the rules, four situations work in practice.
- A Bangladesh-based startup that needs a foreign entity, within USD 10,000 under the 2025 circular.
- An exporting company in Bangladesh that wants a Georgian sales or service entity, and can meet the committee's conditions.
- A Bangladeshi founder already living and earning abroad, for whom Bangladesh's resident rules no longer govern the investment. Confirm your status with an adviser.
- A Bangladeshi professional who moves to Georgia and works there as an individual entrepreneur, with 1% small business status on eligible activities up to GEL 500,000 a year.
The last route has conditions on activity and residence, set out in the company types guide and the non-resident guide.
Travelling to Georgia
Bangladeshi citizens need a visa for Georgia. Before booking:
- Check the exemption: holders of a valid visa or residence permit from certain countries may enter without a Georgian visa.
- Check e-visa eligibility on the official portal, or apply at a Georgian consulate.
- Carry your file at the border: company documents, accommodation and return ticket.
The bottom line
Georgia will register a company for a Bangladeshi founder. Bangladesh lets an exporting company fund one through a committee chaired by the central bank governor, within strict ceilings. A startup founder in Bangladesh can send up to USD 10,000 since 2025; for a founder already abroad, or ready to move to Georgia, the options open up. There is no tax treaty, so Georgian withholding applies in full.

Frequently asked questions
Can a Bangladeshi citizen open a company in Georgia?
Georgian law allows it: a single foreign shareholder and director, no minimum capital. The constraint is on funding it from Bangladesh.
Can a Bangladeshi resident invest in a Georgian company?
The 2022 overseas equity investment rules give a route to exporting companies with retention quota accounts, approved by a Bangladesh Bank committee. Since March 2025, individuals and young enterprises may also remit up to USD 10,000 to set up a foreign entity for a Bangladesh-based startup. Beyond that, ask an authorised dealer bank.
How much can a Bangladeshi exporter invest abroad?
The lower of 20% of average annual export earnings over the previous five years, or 25% of net worth in the latest audited accounts, subject to the committee's approval.
Is there a tax treaty between Georgia and Bangladesh?
No. Bangladesh is not on Georgia's list of treaties in force, so Georgian withholding applies at its domestic rates.
Can a Bangladeshi freelancer use Georgia's 1% tax?
Yes, by living in Georgia and registering as an individual entrepreneur with small business status, for eligible activities and turnover up to GEL 500,000 a year.
