A foreign founder of a Bulgarian company meets three tax systems, not one: what Bulgaria withholds when money leaves the company, what your country of residence taxes when it arrives, and, if you run the company from home, the risk that your country taxes the company itself.
Bulgaria's part is the simplest: 5% on dividends, 10% on manager pay. This guide sets out all three layers, with the residence test and the treaty list.
Are you a Bulgarian tax resident?
You are resident in Bulgaria if any of these applies:
- you have a permanent address in Bulgaria, unless your centre of vital interests is elsewhere;
- you stay more than 183 days in any 12-month period;
- your centre of vital interests, family and economic ties, is in Bulgaria.
A resident pays 10% on worldwide income, and 5% on dividends. A non-resident pays only on Bulgarian-source income, which, for a company owner, means dividends and any pay from the company.
What Bulgaria takes from a non-resident
| Income from your Bulgarian company | Bulgarian tax | Then |
|---|---|---|
| Dividends | 5%, withheld by the company | A treaty may cap it; your country may tax again with a credit |
| Manager's pay | 10%, reported as withheld | Social contributions depend on where you are insured |
| Interest on a loan to the company | 10% | Treaty may reduce it |
| Royalties for your IP | 10% | Treaty may reduce it |
| Sale of your shares | Depends on the treaty | Often taxed only in your country |
Tax estimate
How much tax could you save?Three questions, then the yearly difference between your current rate and three jurisdictions.
The three layers, step by step
- 1The company10% Bulgarian corporate tax on profit
- 2The payout5% Bulgarian tax withheld on the dividend
- 3Your countryTaxes the dividend at its own rate, with a credit for the 5%
- 4The checkIs the company really managed from Bulgaria, or from your home?
Layer one: the company. 10% on profit; see the corporate tax guide.
Layer two: the payout. 5% on dividends, withheld before the money leaves.
Layer three: your country. Most countries tax worldwide income of their residents. The Bulgarian 5% is then usually credited, so the total is your home rate, not 14.5%.
The risk most guides skip: where the company is run
Bulgaria treats a company registered there as Bulgarian. Your country may see it differently:
- Place of effective management. If every decision is taken from your flat in Berlin, Germany may treat the company as German resident.
- Controlled foreign company rules. Many countries tax a resident owner directly on the low-taxed profit of a foreign company, especially with little substance.
- Permanent establishment. Working for the company from home can create a taxable presence there.
What helps:
- a manager who actually works in Bulgaria;
- decisions taken and minuted there;
- local staff or an office, not just a registered address;
- Bulgarian bank and accounting.
Manager's pay and social contributions
If you pay yourself as manager, Bulgaria taxes that pay. Social contributions follow different rules:
| Where you live | Social security |
|---|---|
| Another EU or EEA state, working there too | Usually your home system, with an A1 certificate |
| Bulgaria | Bulgarian contributions, on at least EUR 620.20 a month |
| Outside the EU | Bulgarian rules, unless a social security agreement applies |
Bulgarian contributions are capped at a maximum base of EUR 2,300 a month since 1 August 2026.
Treaties: which countries have one
| Your country | Treaty with Bulgaria |
|---|---|
| France, Germany, Italy | Yes |
| India, Pakistan | Yes |
| Ukraine, Belarus, Georgia | Yes |
| Russia | Yes, but Russia suspended most articles in August 2023 |
| Bangladesh, Nigeria, Venezuela | No |
Without a treaty, the Bulgarian 5% still applies and relief depends on your home country's own rules. Guides for each country of origin explain the details, such as founders from India or from Russia.
- Year NCompany earns profit, manager paid monthly with withholding
- By 30 Jun N+1Company files its return and pays 10%
- On payoutDividend paid, 5% withheld and declared
- Your filing dateDividend declared at home, Bulgarian tax credited
The bottom line
Bulgaria takes 5% when dividends leave and 10% on a manager's pay; that is the easy part. The bill that matters is the one in your country of residence, and the real risk is that your company is managed, and taxed, at home. Plan where decisions are taken before the first dividend.
corpsec registers the Bulgarian company and provides the registered address; personal tax at home is for your own adviser. See the Bulgaria formation service, or read running a company in Bulgaria as a non-resident.
Frequently asked questions
How much tax does a non-resident pay on Bulgarian dividends?
5%, withheld by the company, unless a treaty sets a lower rate. Your country of residence may then tax the dividend, usually with a credit for the Bulgarian 5%.
When does an individual become tax resident in Bulgaria?
With a permanent address in Bulgaria, unless the centre of vital interests is elsewhere, after more than 183 days in any 12 months, or when the centre of vital interests is in Bulgaria.
Does Bulgaria tax a non-resident's foreign income?
No. A non-resident is taxed only on Bulgarian-source income, such as dividends and pay from a Bulgarian company.
Is a non-resident manager taxed in Bulgaria?
Advisers report a 10% withholding on remuneration for managing a Bulgarian company. Social contributions depend on where the manager lives and works.
Does Bulgaria have a tax treaty with Russia?
Yes, on paper, but Russia suspended most of its articles in August 2023 for Bulgaria and other listed states. Check how it applies to your case.
Can my home country tax my Bulgarian company?
Yes, if the company is effectively managed from there, or under controlled foreign company rules. Real management in Bulgaria reduces the risk.
