The state part is almost symbolic: EUR 28.12 to register an EOOD online, EUR 56.24 on paper, and EUR 1 of capital. Everything else costs more: the adviser, the notary, the translations, the registered address, and twelve months of accounting.
This guide separates what the state charges from what the market charges, adds the yearly running cost, and flags the one line most guides leave out.
What the state charges
| Item | Amount |
|---|---|
| Registration of an EOOD or OOD, online | BGN 55, EUR 28.12 |
| Same, on paper | BGN 110, EUR 56.24 |
| Minimum capital, deposited before filing | EUR 1 |
| Filing the annual financial statements | Free since 2022 |
| Annual registry renewal | None |
There is no yearly fee to keep a Bulgarian company on the register.
EUR 55 or EUR 56.24
Some guides quote EUR 55 for a paper filing. The tariff says BGN 110, which converts to EUR 56.24 at the fixed rate. The online fee, BGN 55, is EUR 28.12.

What the market charges for setup
| Item | Published range | Note |
|---|---|---|
| Adviser or law firm package | EUR 250 to 999, before VAT | Check what is included |
| Notary for the manager's consent | EUR 10 to 20 | In Bulgaria; abroad, your local notary's price |
| Power of attorney and apostille for remote registration | EUR 100 to 250 | Plus certified translation |
| Capital account at the bank | EUR 150 to 460 for a foreign national | EUR 10 to 20 for Bulgarians |
| Registered address, first year | EUR 180 to 300 | More with mail scanning |
| Accountant set-up | EUR 50 to 150 | Often waived with a monthly contract |
Beware of headline offers around EUR 180. Advisers note that they usually exclude the state fee, the notary and the address, and end up at EUR 500 to 800.
The yearly running cost
| Item | Published range per year |
|---|---|
| Accounting, dormant company | EUR 600 to 1,200 |
| Accounting, small company without VAT | EUR 1,200 to 1,800 |
| VAT registration add-on | EUR 360 to 960 |
| Payroll, per employee | EUR 240 to 480 |
| Registered address | EUR 180 to 300 |
| Bank account | EUR 60 to 180 |
| Qualified electronic signature (KEP) | EUR 25 to 50 |
| Annual financial statements filing | No state fee |
The electronic signature is not optional in practice: it is used for filings with the revenue agency and the Commercial Register.
The line most guides skip: social contributions
If the owner-manager is insured as manager, social and health contributions are due on at least the minimum insurable base. Advisers report a minimum of EUR 620.20 a month in 2026, with contributions of about EUR 202 a month, or roughly EUR 2,430 a year, split between the company and the manager.
- When it applies: when the owner-manager is insured under the Social Security Code, typically when drawing a manager's remuneration.
- Why it matters: it can be the largest yearly cost of a one-person company.
- What to do: decide with your accountant how you will be paid before the first month ends.
The rules are covered in the compliance guide.
Three first-year budgets
| Line | Founder abroad, no salary | Founder in Sofia, salaried manager | Founder with VAT and one employee |
|---|---|---|---|
| Setup | EUR 500 to 1,000 | EUR 400 to 800 | EUR 500 to 1,000 |
| Accounting | EUR 1,200 to 1,800 | EUR 1,200 to 1,800 | EUR 1,800 to 3,000 |
| Address and bank | EUR 240 to 480 | EUR 240 to 480 | EUR 240 to 480 |
| Manager contributions | Depends on insurance status | About EUR 2,430 | About EUR 2,430 |
These are orders of magnitude built from published ranges, not quotes. Three things move a budget from one column to the next:
- where the manager lives and how they are paid;
- whether the company registers for VAT;
- whether it hires its first employee.
What drives the total up
- Registering from abroad: apostille, translations, couriers.
- A foreign corporate owner: certified registry documents of the parent.
- VAT registration above EUR 51,130 of turnover, or voluntarily.
- Staff, with monthly payroll filings.
- Late filings: advisers report fines from EUR 100 for missed statistical and financial statement filings.
The bottom line
The Bulgarian state charges EUR 28.12 to register an EOOD online and nothing to file its accounts each year. A realistic first year with an adviser costs from about EUR 1,700 for a founder abroad without salary, and well over EUR 4,000 once a salaried manager's contributions and VAT are included.
corpsec quotes Bulgarian registration as a package that names what is included. Ask for a Bulgaria quote, or check the steps in how to register a company in Bulgaria.
