Ukraine has one of the cheapest and fastest incorporation procedures in Europe. There is no state fee for a limited liability company, no minimum share capital, and the registrar is bound by law to decide within 24 hours of receiving a complete file.
For a foreign founder none of that is the binding constraint. Three things are, and none of them appear on the pages selling the registration: you need a Ukrainian tax number before you can be recorded as an owner, the online route is closed to you, and you cannot be your own director without a work permit. There is also a six month clock on your share capital that starts the day you register.
Ukraine Company Registration: the Short Answer
- State fee for a TOV, the Ukrainian LLC: zero. The registrar charges nothing.
- Statutory deadline: 24 hours from a complete file, weekends and public holidays excluded.
- Minimum share capital: none, but what you declare must be paid in within six months.
- Realistic timeline for a non-resident: two to six weeks, nearly all of it document preparation abroad.
- The step nobody warns you about: foreign founders cannot register through Diia. Offline filing only.
The registration is free and fast. The paperwork around it is neither. Budget your calendar for apostilles, notarised translations and a tax number, not for the registrar.
First decision: which structure you are registering
Before the procedure comes a choice, and the 2023 reform changed its arithmetic. Anything written before it is misleading on this table.

Law No 3257-IX of 14 July 2023 collapsed the representative office from a USD 2,500 accreditation taking weeks into a UAH 3,328 registration taking five business days. A guide quoting thousands of dollars predates that reform.
The work permit exemption in the last row is the only real reason to prefer a representative office, and it pays off only when there is no local revenue to book. Full comparison in Ukrainian company types.
The three things that actually stop a foreign founder
Diia is closed to you
Ukraine has a genuinely good e-government portal. A Ukrainian citizen with a qualified electronic signature registers an LLC on a model charter through Diia in a single session, in minutes.
Foreign founders cannot use it. The portal runs on Ukrainian electronic identity, so a non-resident file goes offline: to a notary, a state registrar, or an administrative service centre known as a TsNAP.
This matters because several service pages advertise fully remote registration for foreigners. Remote means remote for you, through a representative holding your power of attorney. Someone still files it in person, in Ukraine.
The RNOKPP comes before everything
Before a foreign individual can appear in the register as founder, director or ultimate beneficial owner, that person needs an RNOKPP, the Ukrainian taxpayer registration number.

The number is quick. The translation and its notarisation are not, and that is what puts weeks between your decision and your filing.
The director needs a work permit
A foreign national can own 100% of a Ukrainian company with no permit. Being its director is employment, and employment requires a permit. Renaming the role does not help, because the director signs and signing is what the permit regulates.
Founders and beneficiaries are treated as a special category, which is genuinely favourable: the salary floor is one minimum wage rather than the multiple imposed on ordinary foreign hires, and the permit can run up to three years with unlimited renewals.
Renewal costs one subsistence minimum less than first issue. Three routes exist in practice:
- Appoint a Ukrainian resident director at incorporation and keep the arrangement, controlling the company through the charter and shareholder rights.
- Appoint an interim director, file for your own permit in parallel, replace once it is issued.
- Obtain the permit first, which is cleaner and delays the company by weeks.

The document chain abroad, which is where your calendar goes
Everything issued outside Ukraine has to arrive legalised and translated. No Ukrainian provider controls this leg, which is why nobody quotes it.

Three warnings, all of which come from the registrar's counter:
- The ownership structure scheme is a diagram reaching the individuals at the top, filed at incorporation, in a prescribed form. Every foreign layer needs documentary support, apostilled and translated.
- The apostille is not universal. Where the Hague Convention does not apply between your country and Ukraine, this becomes full consular legalisation: slower and more expensive.
- The apostille goes on the foreign original, or on a notarised copy issued in your own country. Never on a Ukrainian scan of it.

If someone other than you will hold the signature, the model charter is the wrong instrument. It contains none of the safeguards that make an interim arrangement safe.
The six month capital clock
There is no minimum share capital for a TOV. You declare an amount in the charter, and under article 14 of the Law on Limited and Additional Liability Companies each participant must contribute in full within six months of state registration, unless the charter says otherwise. The period can be shortened or extended by unanimous decision of a general meeting attended by all participants.
That last clause is the practical point. If your funding schedule does not fit six months, the place to fix it is the charter, at incorporation. Not afterwards.
If a participant does not pay:
- The executive body sends a written notice, granting an additional period of up to 30 days.
- If it is still unpaid, a general meeting decides between four outcomes.
- Those outcomes are: exclude the participant, reduce the charter capital, redistribute the unpaid share among the others against payment, or liquidate the company.
Two consequences follow. Declaring UAH 1 of capital is legal and reads as unserious to banks and counterparties. Declaring a large capital you do not intend to fund creates a real obligation with a real remedy against you.

After incorporation: the four clocks
Each of these is detailed in Ukraine company compliance.
- Immediately: UBO and ownership structure recorded, then updated within 30 business days of any change. Public access to the register was restored on 19 January 2026, so the entry is visible.
- Before trading: the tax regime election, general 18% corporate income tax or the simplified single tax. See Ukraine corporate tax rates.
- Within six months: share capital contributed, unless the charter sets a different period.
- Annually: financial statements to the tax authority and to the statistics service.
The UBO clock is the one that catches foreign owners, because the triggering event usually happens abroad and nobody in Kyiv learns of it unless you say so.
Why files get rejected
Rejections are almost never about the company. They are about documents that travelled.
- Translation not notarised, or notarised in a form the registrar will not accept. The translator's signature has to be certified, not merely attached.
- Apostille on the wrong document, typically on a Ukrainian copy rather than on the foreign original.
- A power of attorney drafted too narrowly. If it does not name the specific acts, the representative is turned away at the counter.
- An ownership structure scheme that stops at a holding company instead of reaching the individuals.
- A name already taken, or one that omits the legal form.
- A foreign national named as director with no work permit.

The company can exist in three weeks. A company that can receive money takes longer, and that gap is where most foreign founders lose their schedule.
The bottom line
Registering a Ukrainian company in 2026 is a free, 24 hour filing wrapped in five requirements nobody advertises: a tax number before you can be recorded, an offline route because Diia does not accept foreign founders, a document chain of apostilles and notarised translations, a director appointment that runs into work permit law, and a six month clock on the capital you declare.
