A foreign founder registering a Saudi company deals with two ministries, in a fixed order. The Ministry of Investment comes first. The Ministry of Commerce creates the company only once the first step is done.
That order has not changed. What changed in February 2025 is the nature of the first step: the investment license became an investment registration, and the official document list was rewritten around it.

The sequence, counter by counter
Each step feeds the next one. The commercial registry will not open a file without the investment registration, and nothing after the registry works without a commercial registration number.

A Saudi investor skips step 1 and starts at the Ministry of Commerce. That single difference explains most of the gap between "a few days" and "a few months" in the timelines you will read.
MISA investment registration vs MISA license
Nearly every checklist still opens with "obtain a MISA license". In law, that document stopped existing in February 2025.

The Investment Law profile published by the ministry describes the change as "replacing foreign investor licensing requirement with a simplified registration process". The 2026 Investor Guide calls the service "Registering for investment".
The administration itself has not finished switching words, which is why both are still correct in conversation.

Which one to follow. The law and the guide say registration, so this page does. If an adviser, a bank or a form asks for your "MISA license", they mean the investment registration certificate.
Two things carried over from the license era, and they matter more than the name:
- It still comes first. The Ministry of Commerce will not start a foreign owned company without it.
- It is still updated every year, through an annual registration update that the guide estimates at 5 working days.
A note on the date. Sources give two dates for the decree (22 July 2024 and 11 August 2024) and two for entry into force (around 7 or 12 February 2025). The law itself says 180 days after publication in the Official Gazette. That publication was not read for this page, so it says February 2025.
Step 1: the investment registration with MISA
The application is filed online, on the ministry's services portal. You choose the economic activity from the national classification (ISIC4), and the activity decides which conditions apply.
- Activity category. The guide sorts activities into available and restricted, and each category has its own requirements.
- Ownership and capital. Where the guide sets a minimum capital or a Saudi share for an activity, the application must respect it. Those thresholds are covered in the foreign ownership guide.
- Processing time. The ministry publishes an estimate of 10 working days.
- Fee. The guide publishes no amount. The fee is "determined by the ministry upon approval of the application".
The payment window is the trap. Once the ministry notifies the amount, section 3.1.1 gives 15 business days to pay, "otherwise, the registration will be considered void". Table 5.1.2 of the same guide says 30 days. Plan on 15.

The documents: parent company versus individual founder
The official list in section 3.1.1 was written for a foreign company investing through a Saudi subsidiary. It has five lines, and only two of them are documents most applicants must produce.

The gap: an individual founder with no company behind them. Since 2025 the law treats a natural person as a foreign investor, where the old regime admitted companies only. The guide, however, lists no document set for an individual from outside the GCC on the regular route.
Three routes are documented in the guide for a founder in that position.
- Invest through an existing foreign company. The regular list applies: its commercial register and its last year's financial statements. A company formed last month has no such statements, so ask the ministry what it accepts before building a holding for this purpose.
- Entrepreneurial registration. It needs a letter of support from a Saudi university or an accredited business incubator, naming the activity number. A founder already resident in the Kingdom adds a no objection letter from the employer and a copy of the residence permit.
- Special Residency Permit. Holders of what is usually called Premium Residency are exempt from the commercial register and financial statement requirements.
For a founder who fits none of the three, the guide is silent. Write to the ministry's investor care team before paying for any legalisation.
Embassy legalisation or apostille
This is where foreign documents lose weeks, and the official sources do not line up.

Which one to follow. The guide is the text the investment ministry applies, and it names the embassy. The Convention suggests an apostille should be enough between member states, and another Saudi authority accepts it in writing. Neither fact binds the reviewer of your file.
Before paying for either route:
- Ask the ministry in writing whether an apostille is accepted for your country and your document.
- Check that your country is a party to the Convention. If it is not, the embassy chain is the only route. The United Arab Emirates, for instance, is not on the list of parties as updated on 30 June 2026, which matters if you apply through an Emirati company.
- Plan an Arabic translation. The guide asks for translated documents in its real estate registration service and for a certified translation in its amendment services, and agencies budget translation for company files too.
- Legalise the exact documents listed, under the exact company name on the register.
Steps 2 and 3: trade name, articles and commercial registration
Both steps run on the Saudi Business Center platform. The trade name is a service of its own, and it comes first because the application asks for the name.
- You propose up to 5 names, in Arabic or in English.
- The ministry publishes a service level of 10 days.
- The reservation lasts 60 days at most, "pending the issuance of the commercial register". Some guides say six months. The ministry's page says 60 days.
- The applicant must be the beneficiary of the name or hold a valid authorization from them.
The company application is then a single online form. The ministry lists its screens in this order:
- Number of partners and company status.
- Duration, location, activities and purposes.
- Partners' data.
- Commercial register data and company data.
- Company management data, which names the manager.
- Company contract data, meaning the articles, built from the platform's template.
- Request summary, then payment and issue.
Three conditions on that page deserve attention before you file.
- The investment certificate must be valid for at least 30 days when you apply. A registration close to its annual update date can block the filing.
- A corporate partner's own registration must not be cancelled or suspended.
- An activity supervised by the central bank needs its license first.

What follows the commercial registration
The ministry's commercial registration service states that issuing the record triggers automatic registration with five bodies. The statement sits on the page for establishments and is not repeated on the company page, so check each account after issue.

An open account is not an active one. Each body still expects the company to log in, complete its profile and name a user.
Two items stay manual. The municipal license depends on real premises, and agencies describe a registered lease as its starting point. The bank account has its own sequence: the central bank's rules let a foreign owned company open on the manager's passport and supply the iqama within 90 days, though many banks are reported to ask for the iqama first. Announced times against observed times
Two sets of numbers circulate. They measure different things, and both are true.

The right hand column is a market estimate. It comes from firms that sell the service, it varies with the activity and the country of the documents, and no official statistic backs it.
Three reasons explain the gap, and none of them is slow processing.
- The clock starts on a complete file. Ten working days run from an application the ministry accepts, not from the day you decide to incorporate.
- Legalisation happens before any clock. It is done abroad, on another country's timetable.
- Several steps wait on a person. The manager's permits and the bank account depend on someone travelling.
What can be done remotely and what needs presence
Both ministries describe their services as online. The commerce ministry says its company service works "without the need to visit service centers". The limit is identity: its platform opens through the national single sign on, which a founder with no Saudi identity typically cannot use.

A first trip is easy to organise. The guide describes a business visit visa for investors, issued in 1 to 3 working days on an electronic invitation from a Saudi chamber of commerce.
The manager's file is the heavy one. For a general manager's residence permit, the guide asks for:
- A commercial registration showing the manager's name.
- An electronic work permit from the labour ministry.
- A passport carrying an entry visa.
- A medical report and health insurance, both filed electronically.

Where files stall
- Legalising before asking. Documents sent through the wrong route are redone, not adjusted.
- Missing the 15 business day payment window, which voids the registration.
- An investment certificate with under 30 days left when the company application is filed.
- A trade name reserved too early, which lapses after 60 days.
- An activity code that does not match the business, found only when a later platform reads it.
- A parent company name spelled differently on the register, the statements and the translation.
- Trading before the registration is issued, which the guide lists first among serious violations.
The bottom line
Registering a Saudi company is a short official process wrapped in a long preparation. The two ministries publish clocks that total about a month. The time goes abroad, on legalisation, and at the end, on the manager's permits.
Three decisions shorten it, and all three are made before anything is filed: which activity code you register, which route your documents take, and who will act for the company on Saudi platforms.
